2. Purpose

These terms govern the supply of the MUNO subscription: a licensed background music service for professional premises, with an application that lets a venue describe the ambiance it wants and play a programme matched to the hour and to the kind of room.

The service is for professionals acting in the course of their business. It is not intended for consumers or for private use.

3. Definitions

  • Customer - the company or sole trader that takes out the subscription.
  • Room - the physical premises in which the music is played.
  • Zone - a separately controlled listening area within a room. A bar and its terrace, if they play different music at the same time, are two zones.
  • Catalogue - the recordings MUNO makes available.
  • Service - the catalogue, the application, the automatic selection and the support.

4. Acceptance

Taking out the subscription constitutes unreserved acceptance of these terms. Under article L441-1 of the French Commercial Code they form the sole basis of the commercial negotiation and prevail over the Customer's purchasing terms.

5. What is supplied

MUNO supplies:

  • access to the catalogue for background music in the zones subscribed for;
  • the MUNO application (browser, Android, iOS) to run the room;
  • automatic selection matched to the hour, the kind of establishment and the description the Customer provides;
  • an offline reserve on the device, so that the room plays through a lost connection;
  • an attestation stating where the catalogue played comes from and that it is not affiliated to any collecting society, to be produced in the event of an inspection;
  • e-mail support, in French and English, within one working day.

MUNO supplies no hardware, no installation and no acoustic work. Playback runs on the Customer's own devices.

6. Free trial

Opening an account gives a fourteen (14) day trial, with no card and no commitment. At the end of the trial playback stops until a subscription is taken out. Nothing is invoiced during the trial.

7. Price

Prices are in euros excluding tax, per zone per month. VAT is added at the rate in force. The price applying is the one published on munosound.com on the day of the order:

TermPer zone per monthInvoiced
Monthly, no commitment€36 excl. VAT€36 excl. VAT per month
Six months€33 excl. VAT€198 excl. VAT on order
Twelve months€29 excl. VAT€348 excl. VAT on order

Equitable remuneration (SPRE) is not included in these prices and is never passed on by MUNO. See article 10.

MUNO may change its prices. A change does not affect a period already paid for; it is notified at least thirty (30) days before the renewal date, and the Customer may terminate before that date at no cost if it does not suit them.

8. Term, renewal, termination

The subscription starts on subscription for the term chosen and renews automatically for further periods of the same length.

The Customer may terminate at any time from the customer area; termination takes effect at the end of the current period and no pro-rata refund is due. A period already paid for remains payable.

Zones may be added at any time, billed pro rata for the current period. A reduction in the number of zones takes effect at the next renewal.

MUNO may terminate or suspend the subscription for persistent non-payment after a formal notice that has remained without effect for fifteen (15) days, or for a serious breach of articles 10 and 11.

9. Payment

Payment is by card through a secure payment provider, or by bank transfer against invoice where MUNO accepts it. MUNO holds no card data.

Invoices are payable on receipt unless stated otherwise on the invoice.

Under article L441-10 of the French Commercial Code, late payment automatically incurs, without prior notice, late payment interest at the European Central Bank's most recent refinancing rate plus ten (10) percentage points, together with a fixed recovery indemnity of forty (40) euros, without prejudice to further compensation on production of evidence.

No discount is granted for early payment.

10. Rights in the music

What the subscription covers. For its term, MUNO grants the Customer a non-exclusive, non-transferable and non-sublicensable right of use, limited to background music in the zones subscribed for. The catalogue consists of works cleared for commercial broadcast and whose supplier holds every economic right in them. Neither that supplier nor the creators of those works were members of a collecting society at the time their rights were transferred, and no administration right has been transferred to such a society: none of them is therefore entitled to represent this catalogue on the basis of membership, and no authors' royalty is due on that basis to play them.

What the subscription does not cover. The equitable remuneration provided for by article L214-1 of the French Intellectual Property Code, known as SPRE, is a statutory licence: it is owed by the establishment that plays recorded music, whatever catalogue is played. It is declared and paid by the Customer to SACEM, which collects it on SPRE's behalf. MUNO does not calculate this amount and does not declare it for the Customer. MUNO provides the attestation referred to in article 5.

What is not allowed. Downloading, copying, extraction, resale, redistribution, making available to the public, incorporation into audiovisual or advertising works, broadcast on a website, a radio station or a social network, and any use outside the zones subscribed for. The Customer does not play the music in an undeclared room.

Rights owner. The catalogue is provided by Epidemic Sound, which is the copyright owner of every track in it. Titles and performers are shown as delivered. No ownership right is transferred to the Customer.

11. Account, devices and zones

The Customer is responsible for keeping its credentials confidential and for any use made with them. A licence can only be active on one device at a time: signing in on another device disconnects the previous one and stops the music. One licence cannot cover two rooms.

The Customer declares an accurate number of zones and updates it when it changes. Playing in a zone that has not been subscribed for is a serious breach.

12. Availability

MUNO uses reasonable endeavours to keep the service available. The offline reserve lets the room keep playing through an internet outage, up to the length set on the device.

MUNO may interrupt the service for maintenance; except in an emergency, planned interruptions are announced in advance and placed outside usual service hours.

13. Liability

MUNO is bound by an obligation of means. Its liability is limited to direct damage and may not exceed the amount excluding tax paid by the Customer over the twelve (12) months preceding the event giving rise to it.

MUNO is not liable for the consequences of a failure of the Customer's hardware or internet connection, of any use not complying with article 10, or of the declarations and payments the Customer must make to third parties, in particular SPRE.

Nothing in these terms limits MUNO's liability for gross negligence, wilful misconduct or personal injury.

14. Personal data

Data processing is described in the privacy policy, which forms part of these terms. Data is hosted in the European Union.

15. MUNO's intellectual property

The application, its interfaces, its texts, its trade mark and its music selection processing remain the exclusive property of MUNO LABS. The subscription confers no right in them beyond the right of use needed to use the service.

16. Force majeure

Neither party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code.

17. Withdrawal

As the service is supplied to professionals in the course of their business, the right of withdrawal under the French Consumer Code does not apply. Where the conditions of article L221-3 of that Code are met, the Customer has the fourteen (14) day withdrawal period it provides for. In any event, the free trial in article 6 allows the service to be tried before any payment.

18. Changes to these terms

MUNO may change these terms. The version that applies is the one in force on the day of the order or of the renewal. Any substantial change is notified at least thirty (30) days before it takes effect.

19. Governing law and jurisdiction

These terms are governed by French law. Failing an amicable settlement, any dispute falls within the exclusive jurisdiction of the Créteil Commercial Court, including where there are several defendants or a third-party claim.
